Important notice to the user
Please read these Terms of Service carefully before using this platform or confirming a purchase. Yellsy LLC is not a carrier, an airline, a hotel operator, or a direct transportation provider. Yellsy LLC operates exclusively as a technological intermediary providing concierge and travel packaging services through real time application programming interfaces (APIs). By using this platform and agreeing to a purchase, you acknowledge that your booking is conditioned upon the terms, restrictions, and fare rules of the third party providers involved in your itinerary.
1. Preamble and Legal Framework
1.1 Scope of Agreement
These Terms of Service (the "Agreement") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you", "User", "Customer"), and Yellsy LLC ("Company", "we", "us", "our"), concerning your access to and use of the website https://www.yellsy.com and any other media form, mobile website, or automated service connected to it (collectively, the "Platform"). By accessing the Platform, you confirm that you have read, understood, and agreed to be bound by this Agreement in its entirety.
1.2 Capacity of Intermediary
Yellsy LLC acts solely as a software infrastructure aggregator and technological intermediary. We do not own, manage, or operate any aircraft, hotel properties, vehicles, or transfer fleets. Every reservation, ticket issuance, room allocation, and transportation order executed through our automated systems is processed directly through third party global distribution systems and specialized aggregators, including but not limited to Duffel and Hotelbeds (collectively, "Third Party Suppliers").
1.3 Mandatory Acceptance of Third Party Terms
When you purchase a travel package through Yellsy LLC, you simultaneously and unconditionally accept the general conditions, carriage regulations, and internal rules of the Third Party Suppliers involved in your itinerary. It is your sole responsibility to review the specific carrier or property rules prior to completing your purchase. Yellsy LLC cannot be held responsible for your failure to do so.
1.4 Modifications to These Terms
Yellsy LLC reserves the right to modify these Terms at any time. When material changes are made, we will notify you by email at least thirty (30) days before the new terms take effect. Your continued use of the Platform after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform before the effective date.
2. User Eligibility and Account
2.1 Eligibility
You must be at least eighteen (18) years of age and legally capable of entering into binding contracts in your jurisdiction. By registering, you represent and warrant that you meet these requirements. Accounts may not be created on behalf of another person without their explicit written consent. Yellsy LLC reserves the right to request proof of identity or age at any time.
2.2 Account Registration and Security
You agree to provide accurate, complete, and current information during registration and to keep that information up to date. Your legal full name as provided at registration is used to issue travel documents and cannot be changed after a booking is confirmed. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you suspect unauthorized access, you must notify us immediately at security@yellsy.com. We strongly recommend enabling two factor authentication, which is available in your account settings.
2.3 Minor Passengers
If your booking includes a passenger under the age of eighteen (18), the account holder confirms that they are the legal parent or guardian of that minor, or hold explicit written authorization from the minor's legal guardian. The account holder assumes full responsibility for compliance with the carrier's unaccompanied minor policies, applicable visa or entry requirements, and any consent documentation required by the destination country. Yellsy LLC shall not be liable for the denial of boarding or entry of a minor passenger resulting from noncompliance with these requirements.
3. The Automated Booking Flow and Mandate
3.1 Real-Time Partner Data and Price Volatility
All itineraries, seat availabilities, room inventories, and pricing displayed on the Platform are pulled dynamically in real time from our airline and hotel partners. Travel inventory is highly volatile. Yellsy LLC cannot guarantee that a price or availability remains unchanged between the moment it is displayed and the moment your payment is fully authorized and captured.
3.2 Supplier Discrepancy Protocol
In rare instances, a synchronization delay may occur where a Third Party Supplier rejects a booking request immediately after funds have been captured (a "Supplier Discrepancy"). In such events, Yellsy LLC reserves the right to void or cancel the pending order within twenty four (24) hours without liability. A full refund will be issued to your original payment method. Alternatively, Yellsy LLC may present you with an updated alternative at the current live rate. You are under no obligation to accept any alternative offer.
3.3 Automated Purchase Mandate
By clicking "Pay Now", "Confirm Purchase", or any equivalent validation action, you grant Yellsy LLC an explicit and immediate mandate to act as your technological agent to: process your payment via Stripe; execute the automated requests to issue airline tickets through Duffel; book hotel rooms and transfers through Hotelbeds or its connectors; and transmit your identity and passport data to the global distribution systems of said suppliers. This mandate is granted at the moment of validation and cannot be revoked once the booking sequence has been initiated.
3.4 Autobook Feature
The autobook feature allows the Platform to automatically complete a booking when a matching offer is found within your stated budget and travel preferences. Before activation, you must explicitly authorize Yellsy LLC to place a card authorization for your selected budget amount. A charge is only executed if a qualifying offer is found. If no match is found, the authorization is released automatically at no cost. A separate confirmation is required if the final price differs from your stated budget. You may disable the autobook feature at any time through your dashboard settings.
4. Pricing, Margins, and Payment
4.1 All Inclusive Pricing
Yellsy LLC sells curated travel packages at a comprehensive, all inclusive price. The price displayed includes the baseline cost of flights, hotel accommodations, applicable transfers, standard ancillary fees, and the Yellsy LLC service margin. Yellsy LLC is not obligated to disclose the net wholesale rates received from its travel partners, nor the exact breakdown of its internal service margin. You acknowledge this pricing model and agree that the displayed price represents the total amount due.
4.2 Bundled Ancillaries
Ancillary components included in a package (verified checked baggage allowances, seat zone assignments, private airport transfers) are bundled natively into the offer. Once a purchase is confirmed, these components cannot be decoupled, itemized, or partially refunded separately from the global contract terms of the Third Party Suppliers.
4.3 Payment Infrastructure and Security
All financial transactions on the Platform are processed through Stripe, a PCI DSS compliant third party payment institution. Yellsy LLC never stores, captures, or processes raw card or banking information on its own servers. Yellsy LLC cannot be held liable for transaction failures, account freezes, or network outages originating from the payment gateway.
5. Provider Liability Framework
5.1 Air Transport Segment
The legal contract governing your air travel exists solely between you and the operating airline. All baggage restrictions, flight rules, boarding conditions, codeshare alignments, and schedule changes are governed by the airline's Contract of Carriage. Yellsy LLC shall not be held liable for flight cancellations, delays, missed connections, strikes, airline bankruptcies, or lost and damaged baggage. You retain all rights to demand rerouting or a refund directly from the operating carrier under applicable international frameworks, including the Montreal Convention and EU Regulation 261/2004 where applicable.
5.2 Hotel and Lodging Segment
Property categorizations, quality descriptions, and amenity lists are sourced from our hotel partners and provided for informational purposes. Yellsy LLC relies on the accuracy of data supplied by those partners and is not liable for property overbookings, structural discrepancies, local renovations, or service deficiencies. Local resort fees, municipal tourist taxes, and incidental charges (minibar, room service, damage deposits) are not included in the package price and must be settled directly with the property.
5.3 Ground Transportation Segment
Vehicle capacity and luggage constraints communicated at booking are strictly enforced by the local transport operator. If you bring luggage exceeding the declared allowance, the operator may deny service or charge for a larger vehicle on site. Yellsy LLC declines all responsibility for such occurrences. The standard airport waiting period is sixty (60) minutes after landing. Failure to meet the driver within this window due to customs delays, immigration processing, or failure to communicate a schedule change may result in a "No Show" without refund.
6. Cancellations, Modifications, and Disruptions
6.1 Standard Rates and Refund Conditions
Unless an option explicitly labeled as "Fully Flexible" or "Free Cancellation until [Date]" is displayed and selected in your booking confirmation, all transactions processed through Yellsy LLC are not refundable, not exchangeable, and not modifiable once confirmed. Yellsy LLC secures wholesale travel inventory under strict rate conditions that explicitly prohibit alterations after booking confirmation. You are responsible for selecting the appropriate rate flexibility before confirming your purchase.
6.2 Disruption Monitoring (Best Effort Service)
Yellsy LLC operates an automated monitoring system designed to detect flight cancellations and major delays through our partner connections. This system operates on a best effort basis as a supplementary service. If a flight is canceled by the carrier, our system will attempt to identify the next available equivalent route and present it to you through the Platform or support channels. If no equivalent route can be identified due to capacity constraints or technical timeouts, Yellsy LLC bears no legal liability for the disruption. You retain all rights to demand rerouting or a refund directly from the operating airline under applicable consumer protection regulations.
7. Limitation of Liability
7.1 Scope of Yellsy LLC Responsibility
Yellsy LLC is responsible solely for the proper execution of its software platform, the accurate processing of your search parameters, and the correct transmission of your personal data and payment funds to the respective partner booking systems. Our responsibility ends at the boundary of our software systems. The quality, execution, and experience of the travel services you receive are governed by the Third Party Suppliers.
7.2 Technical Exclusions
Yellsy LLC shall not be liable for losses or damages resulting from: outages or technical failures originating from our travel partners; inaccurate personal data, spelling errors, or expired travel documents submitted by the Customer during checkout; network connectivity issues on the Customer's side that prevent delivery of boarding passes or digital vouchers; or third party payment gateway failures beyond our control.
7.3 Cap on Liability
To the maximum extent permitted by applicable law, Yellsy LLC's total financial liability toward you shall not exceed the total amount you paid to Yellsy LLC in the twelve (12) months preceding the claim. Yellsy LLC shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to lost profits or missed travel opportunities.
7.4 Force Majeure
Yellsy LLC is discharged from any performance obligation or financial liability in the event of a force majeure occurrence. This includes acts of God, war, terrorism, civil unrest, government travel restrictions, health pandemics, border closures, air traffic control directives, adverse weather events, or systemic failures of global cloud infrastructure providers. We will notify you of any force majeure event affecting your booking as promptly as our systems allow.
8. Data Protection and Privacy
8.1 Cross Border Data Transmission
To complete your booking, Yellsy LLC must transmit your personal identifiers (legal full name, date of birth, passport or national identity number, nationality, and contact details) across our platform to the Third Party Suppliers. By confirming a purchase, you grant Yellsy LLC explicit authorization to transmit this data globally for the sole purpose of executing your travel contracts. This data is handled in accordance with our Privacy Policy, available at yellsy.com/legal/privacy.
8.2 Data Accuracy Responsibility
You are solely responsible for the accuracy of all personal data submitted during the booking process. Yellsy LLC transmits your data exactly as entered to the airlines and hotels. Any discrepancy between your submitted data and your travel documents (passport, national identity card) may result in denial of boarding or hotel check in. Correction fees, if permitted by the carrier, are the sole responsibility of the Customer.
9. Prohibited Uses
By accessing and using the Platform, you agree that you will not engage in any of the following prohibited activities:
- →Scrape, crawl, harvest, or mirror data from the Platform using automated tools, bots, or scripts.
- →Attempt to reverse engineer, decompile, or extract the source code, pricing algorithms, or scoring logic of the Platform.
- →Use the Platform for any unlawful purpose or in violation of any applicable local, national, or international regulation.
- →Provide false, inaccurate, or misleading personal information during registration or checkout.
- →Impersonate another person or create an account on behalf of another individual without their written consent.
- →Resell, sublicense, or commercially redistribute Platform data or travel inventory without our prior written authorization.
- →Attempt to circumvent any security measure, rate limit, or access control mechanism of the Platform.
- →Use the Platform to book travel on behalf of sanctioned individuals or entities.
10. Intellectual Property
All content, trademarks, logos, software, pricing engines, comfort optimization algorithms, and user interface designs on the Platform are the exclusive intellectual property of Yellsy LLC or its licensors. You are granted a limited, nonexclusive, nontransferable license to access and use the Platform for personal, noncommercial travel planning purposes. You may not copy, modify, distribute, or create derivative works from any element of the Platform without our express written consent. Any unauthorized use of our intellectual property may result in immediate account termination and legal action.
11. Referral and Affiliate Program
Yellsy LLC offers a referral program that allows registered users to earn a commission on eligible bookings completed by users they refer. Commission rates and eligibility conditions are detailed in the Referral Program Terms available at yellsy.com/legal/referral-terms. Yellsy LLC reserves the right to modify, suspend, or terminate the referral program at any time, and to withhold or reverse commissions where fraudulent activity, self referral abuse, or policy violations are detected. Commissions are tracked using anonymized booking identifiers in compliance with our Privacy Policy.
12. Dispute Resolution
12.1 Mandatory Prior Mediation
In the event of dissatisfaction, a service conflict, or an error, you agree to first contact Yellsy LLC through our official support channels (email, helpdesk, or digital concierge) and allow us a reasonable opportunity to resolve the matter before initiating any external legal action or filing a bank chargeback. Yellsy LLC commits to acknowledge your request within two (2) business days and to handle mediation inquiries within seven (7) business days. We are genuinely committed to resolving disputes fairly and efficiently.
12.2 Chargeback Policy
Customers who initiate a bank chargeback for a booking that was duly executed, or for a disruption originating from a Third Party Supplier (such as an airline cancellation governed by Section 6), acknowledge that Yellsy LLC will submit this Agreement, booking transaction logs, and booking confirmation records as evidence to contest the chargeback through the applicable payment network dispute process. Customers found to have filed a chargeback in bad faith may be liable for any administrative costs or legal expenses reasonably incurred by Yellsy LLC in defending its rights.
12.3 Governing Law and Jurisdiction
These Terms of Service and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the jurisdiction in which Yellsy LLC is legally registered, excluding its conflict of law provisions. Any legal action or proceeding relating to these Terms shall be brought exclusively before the competent courts of that jurisdiction. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13. Termination
Yellsy LLC reserves the right to suspend or permanently terminate your account and access to the Platform without prior notice if you violate these Terms, engage in fraudulent or abusive conduct, or if we determine, at our sole discretion, that continued access poses a risk to the integrity of the Platform or to other users. In cases of nonmaterial violations, we will endeavour to provide thirty (30) days written notice before termination. You may request the deletion of your account at any time by submitting a request through your dashboard settings or by writing to contact@yellsy.com, in accordance with your rights under our Privacy Policy.
